Drawing is being sponsored by Toyota Motor Sales, U.S.A., Inc., 6565 Headquarters Dr., Plano, TX 75024 (“Toyota” or “Sponsor”) and will be held beginning December 1, 2025 through December 13, 2025 (the “Drawing Period”). Entries, as defined below, submitted before or after the Drawing Period will be disqualified.

Participation in the Drawing constitutes Entrant’s full and unconditional agreement to and acceptance of these Official Rules (“Official Rules”). Sponsor’s decisions are final and binding.

1. Eligibility

The Drawing is open to attendees of Rodeo World 2025 to be held December 1 through December 13, 2025 at The Strip at Resorts World Las Vegas (“Event”) who are U.S./D.C. legal residents, at least eighteen (18) years of age at the time of entry and are not an employee of Sponsor, AEG Presents LLC, Anschutz Entertainment Group, Inc., Goldenvoice, LLC, Resorts World Las Vegas LLC, Rodeo World 2025 or any of their respective parents, subsidiaries, affiliates, officers, directors, employees, shareholders, representatives, distributors, dealers, advertising and promotion agencies, or any other agency(ies) that provide goods and/or services in connection with the Event, the Festival and/or the Drawing (each, an “Entrant”).

2. How to Enter

Each Entrant will enter by scanning Sponsor’s QR code available at Toyota’s activation site at the Event and submitting requested information during the Drawing Period (each, an “Entry”). Limit one (1) Entry per Entrant during the Drawing Period.  

3. Random Drawing and Prize Winner Notification

On or about January 5, 2026, Sponsor or Sponsor’s representative will conduct a random drawing from all eligible Entries received during the Drawing Period to determine two (2) winners (each, a “Prize Winner”). Drawing is subject to applicable laws and regulations and is void outside the eligibility area and where prohibited or restricted by law.  Prize Winners will be notified on or about January 12, 2026 by the email address provided on the Entry. If any potential Prize Winner does not respond to such notification within three (3) days of notification, Sponsor will randomly draw another Prize Winner from eligible Entries received. Return of any Prize Winner notification as undeliverable or if potential Prize Winner is not eligible or did not comply with these Official Rules, an alternate Prize Winner will be determined and notified as indicated above. All federal, state and local taxes associated with winning and accepting a Prize, as defined below, are each Prize Winner’s sole responsibility and a 1099 tax form will be submitted on each Prize Winner’s behalf. Prizes will be sent by certified mail to Prize Winners in advance of the Festival start date.

4. Prizes

Prize Winners will each receive admission passes to the 2026 Stagecoach Festival to be held April 24-26, 2026 in Indio, CA (“Festival”). Each prize consists of two (2) admission passes to the Festival, as follows (each, a “Prize”):

• The first randomly drawn Entry Prize Winner will receive two (2) Rhinestone Saloon Passes to Festival which include: (a) shaded seating area, (b) available specialty food and drink, (c) access to the Rose Garden Saloon and Palomino stage (Standing Room Only), and (d) convenient access to restrooms, satellite merchandise booth, cashless bars (approximate retail value (“ARV”) for each such pass is $974).

• The second randomly drawn Prize Winner will receive two (2) Festival General Admission Passes (ARV for each such pass is $599).

Each Prize is nontransferable and no substitution or cash equivalent is allowed except as provided herein at the Sponsor’s sole discretion. Sponsor reserves the right to substitute a Prize for one of comparable or greater value, at its sole discretion. Prizes are subject to age restrictions and are subject to the applicable Festival terms and conditions available at https://www.axs.com/about-purchase-agreement_US_v6.html and https://www.aegpresents.com/festival-ticket-terms. Released Parties are not responsible for any changes, including cancellation, of the Festival or any elements of the Festival. In the event of any Festival schedule change and/or cancellation, Sponsor shall provide notice to Prize Winners as soon as reasonably possible and no compensation will be paid to either Prize Winner as a consequence. Any expenses incurred by either Prize Winner as a result of such Festival schedule change and/or cancellation, are Prize Winners sole responsibility. Prize Winners are prohibited from selling, auctioning, trading or otherwise transferring either Prize.  Should the Festival schedule date change and/or the Festival be cancelled, Sponsor will notify Prize Winners as soon as reasonably possible. Any difference between stated ARV and actual value of each Prize will not be awarded. Prize Winners and guests must abide by all Festival and venue rules and regulations.  Any expenses not specifically mentioned herein are solely the Prize Winners’ responsibility. Sponsor reserves the right to revoke the full or partial Prize from the Prize Winners and/or guests who it or Festival personnel may deem, in its/their sole discretion, to be intoxicated, a safety risk, found to have violated any Festival policy or law, or may bring any of the Toyota Entities, as defined below, into disrepute. If a Prize Winner is unable or unwilling to attend the Festival, the Prize will be forfeited and may be awarded to an alternate winner. A minor may accompany Prize Winner as their guest to the Festival only if that Prize Winner is that guest’s parent or legal guardian. Minor guest must be accompanied at all times by their parent or legal guardian during Festival. 

5. General Conditions

In the event that the operation, security, or administration of the Drawing is impaired in any way for any reason, including, but not limited to fraud, virus, bug, worm, unauthorized human intervention or other technical problem, or in the event the Drawing is unable to run as planned for any other reason, as determined by Sponsor in its sole discretion, the Sponsor may, in its sole discretion, either (a) suspend the Drawing to address the impairment and then resume the Drawing in a manner that best conforms to the spirit of these Official Rules or (b) terminate the Drawing and, in the event of termination, award the applicable Prizes based on the judging criteria above after judging the eligible, non-suspect Entries received at the Toyotaactivation site up to the time of the impairment. The Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the Entry/judging process or the operation of the Drawing or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to undermine the legitimate operation of the Drawing may be a violation of criminal and civil law and, should such an attempt be made, the Sponsor reserves the right to seek damages (including attorney’s fees) and any other remedies from any such person to the fullest extent permitted by law. Failure by the Sponsor to enforce any provision of these Official Rules shall not constitute a waiver of that provision. By entering, you hereby grant permission to Sponsor and/or its designees (without additional compensation, notice or further consent) for the use of your Entry, name, address, photograph, testimonial, recorded voice, video or other likeness and/or Prize information, biographical information and/or personal exposition (and/or any edited portion thereof) for promotional, advertising and/or publicity purposes in any media, now or hereafter known throughout the world in perpetuity, regarding your winning the Drawing, without additional compensation, without providing you notice, and without requiring any additional consent, to extent permitted by law.

6. Release and Limitations of Liability

By participating in the Drawing, Entrants agree to release and hold harmless the Sponsor, AEG Presents LLC, Anschutz Entertainment Group, Inc., Goldenvoice, LLC, Resorts World Las Vegas LLC, Rodeo World 2025 and any of their respective parents, subsidiaries, affiliates, officers, directors, employees, shareholders, representatives, distributors, dealers, advertising and promotion agencies, and/or any other agency(ies) that provide goods and/or services in connection with the Event, the Festival and/or the Drawing (collectively, the “Released Parties”) from and against any claim or cause of action arising out of participation in the Drawing or receipt or use of the Prizes (including any travel or activity related thereto), including, but not limited to: (a) any technical errors associated with the Drawing, including lost, interrupted or unavailable Internet Service Provider (ISP), network, server, wireless service provider, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone, cellular tower or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties; (b) unauthorized human intervention in the Drawing; (c) mechanical, network, electronic, computer, human, printing or typographical errors; (d) any other errors or problems in connection with the Drawing, including, without limitation, errors that may occur in the administration of the Drawing, the announcement of the Prize Winners, the cancellation or postponement of the Drawing, the processing of Entries or in any Drawing-related materials; or (e) injury, death, losses or damages of any kind, to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrants’ participation in the Drawing or acceptance, receipt or misuse of the Prizes (including any travel or activity related thereto). Entrant further agrees that in any cause of action, the Released Parties liability will be limited to the cost of entering and participating in the Drawing, and in no event shall the Entrant be entitled to receive attorney’s fees. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Drawing. Entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.

Sponsor and its parent, subsidiaries and affiliated companies (collectively, the "Toyota Entities") shall not be liable for any injury, damage, loss, expense, accident, delay, inconvenience, or other irregularity that may be caused or contributed to (a) by wrongful, negligent, or unauthorized act or omission on the part of any of those suppliers or any of their agents, servants, employees, or independent contractors, (b) by any defect in or failure of any vehicle (as applicable), equipment, instrumentality, service, product, or accommodation that is owned, operated, furnished, or otherwise used by any of those suppliers, (c) by the wrongful, negligent, or unauthorized act or omission on the part of any other person or entity not an employee of the Toyota Entities, or (d) by any cause, condition, or event whatsoever beyond the control of the Toyota Entities. The Toyota Entities shall not be liable for any injury, damage, loss, expense, accident, delay, inconvenience, or irregularity arising out of or relating to any Prize granted under this Drawing, even if caused by the negligence of the Toyota Entities.

7. Disputes

Except where prohibited, each Entrant agrees that any and all disputes, claims and causes of action arising out of, or connected with, the Drawing or any Prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in Collin County, Plano, Texas in the U.S. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, Entrant’s rights and obligations, or the rights and obligations of the Sponsor in connection with the Drawing, shall be governed by, and construed in accordance with, the laws of the State of Texas in the U.S, without giving effect to any choice of law or conflict of law rules, which would cause the application of the laws of any jurisdiction other than the State of Texas in the U.S.

8. Privacy

Information collected by Sponsor in connection with the Drawing may be used by Sponsor[LL1]  in accordance with its Privacy Notice, located at https://www.toyota.com/support/privacy-notice/, and applicable data protection laws. Sponsor agrees to ensure that all data collection complies with (i) all applicable laws, including without limitation, all state and federal laws, corporate standards, policies and regulations (collectively “Applicable Laws”); (ii) the principles, guidelines, rules and codes of conduct of self-regulatory organizations to which third parties providing services, platforms, and data are bound, and any required notices and consents; and (iii) privacy disclosures and information collection requirements imposed on advertisers by targeting of media in order to comply with Applicable Laws. 

9. Prize Winners’ List
